These Terms & Conditions (“Terms”) govern the relationship between Prime Digital Project Limited (“we,” “us,” “our,” or the “Company”) and you (“User,” “you,” or “your”) when you access or use our website, platform, or AI image generation services (collectively, the “Services”).

By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our Services.
2. ELIGIBILITY
2.1 Age Requirements
You must be at least 18 years old to use our Services. If you are under 18, your parent or legal guardian must agree to these Terms on your behalf and accepts full responsibility for your activity on the platform.
2.2 Account Registration
To use certain features, you must create an account. You agree to provide accurate, current, and complete registration information; maintain the security of your account credentials; notify us immediately of any unauthorised access or use; and accept responsibility for all activities conducted under your account.
2.3 One Account Per User
Each user may only hold one account. Creating multiple accounts is strictly prohibited and may result in immediate termination of all associated accounts.
3. SERVICES DESCRIPTION
Our Services provide AI-powered image generation tools that allow you to create images from text descriptions (“Prompts”) using a token-based system. The Services include text-to-image generation, image variations and modifications, reference image uploads, token purchase and management, and gallery storage and management.
4. TOKEN SYSTEM
4.1 Token Purchase
Services are accessed through the purchase of digital tokens. Tokens are purchased through our platform via authorised third-party payment processors. All token package prices are clearly displayed before purchase and include applicable VAT where required. Purchased tokens do not expire.
4.2 Token Usage
Each image generation request consumes tokens based on the selected resolution and settings. Token costs are clearly displayed before each generation is initiated. If a generation fails due to a technical error on our part, consumed tokens will be automatically refunded to your account balance.
4.3 No Subscriptions
We do not operate a subscription model. You purchase tokens as and when needed with no recurring charges or automatic renewals.
4.4 Non-Refundable Tokens
Tokens are non-refundable once used, except as required by applicable UK consumer law or as outlined in our Refund Policy.
5. CONTENT OWNERSHIP & LICENCE
5.1 Your Generated Images
You own all images you generate using the Services (“Generated Images”), subject to these Terms. This ownership includes full commercial usage rights without attribution requirements or ongoing royalties to us.
5.2 Licence Granted to Us
By using the Services, you grant Prime Digital Project Limited a worldwide, non-exclusive, royalty-free licence to use your text prompts and uploaded reference images solely to generate and deliver images to you; store and process your input content as necessary to provide the Services; and use your public images to improve our AI models, subject to your right to opt out in account settings.
5.3 Public vs Private Content
Private Images are never used for AI training and are not visible to other users. Public Images may be used to improve our AI models and may appear in public galleries. You retain full control over the visibility settings for each generated image.
5.4 Licence Survival
The licences you grant to us survive termination of your account or these Terms solely to the extent necessary for us to fulfil any outstanding legal or technical obligations.
5.5 Third-Party Content
You may not use, modify, or reproduce images created by other users without their express permission. Original creators retain ownership of their generated images.
6. PROHIBITED USES
You agree not to use the Services for any illegal purpose or in violation of any applicable UK or international laws; generate images depicting illegal activities or that would constitute a criminal offence under UK law; create violent, graphic, or seriously disturbing content; generate adult content, nudity, or sexually explicit imagery; create any content depicting the sexual exploitation of minors, which is a serious criminal offence under the Sexual Offences Act 2003 and the Protection of Children Act 1978; generate content that harasses, threatens, intimidates, or abuses any individual; create images infringing third-party copyright, trademarks, or other intellectual property rights; use images of real individuals in a defamatory or misleading manner; attempt to reverse engineer, copy, or extract our AI models or algorithms; use automated tools, bots, or scripts to access or abuse the Services; attempt to circumvent the token system or any payment mechanism; or use the Services for competitive intelligence or to develop directly competing services without our written consent.
7. USER RESPONSIBILITIES
You are solely responsible for all prompts and content you input into the Services; all images you generate and any subsequent use of those images; ensuring your use of the Services and Generated Images complies with all applicable laws; independently evaluating the suitability and accuracy of Generated Images before use; and any consequences arising from your use or misuse of Generated Images.
8. CONTENT MODERATION
We use automated systems to identify and block prompts that may result in prohibited content. These systems are not infallible. We reserve the right to remove any content that violates these Terms or our policies, without prior notice or refund of tokens used. Repeated or serious violations of our content policies may result in warnings, temporary suspension, or permanent termination of your account.
9. INTELLECTUAL PROPERTY
The Services, including our website, software, AI models, algorithms, interface design, logos, and trade marks, are owned exclusively by Prime Digital Project Limited and are protected by applicable UK and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose in accordance with these Terms. You may not copy, modify, distribute, sell, sublicense, or attempt to reverse engineer any part of our Services.
10. AI GENERATED CONTENT DISCLAIMER
AI image generation is an evolving technology. We make no warranties that generated images will match your expectations or requirements; that results will be accurate, appropriate, or fit for any particular purpose; or that the Services will operate without interruption or error at all times. You must independently evaluate all Generated Images before any use, whether personal or commercial. We are not responsible for the content, quality, accuracy, or suitability of Generated Images. Our AI models may reflect biases present in training data and we work continuously to improve fairness, safety, and accuracy.
11. PAYMENT TERMS
11.1 Pricing
All token package prices are clearly displayed before purchase and are inclusive of applicable VAT where required by UK law. We reserve the right to amend pricing with reasonable prior notice.
11.2 Payment Processing
Payments are processed by authorised third-party payment processors. Prime Digital Project Limited does not store your payment card details.
11.3 Refund Policy
Please refer to our separate Refund Policy for full details. Tokens are non-refundable once used, except where required by the Consumer Rights Act 2015, in the event of a verified technical error on our part, or at our sole discretion in exceptional circumstances.
11.4 Taxes
All prices are displayed inclusive of VAT where applicable. You are responsible for any additional taxes applicable in your jurisdiction.
12. SERVICE AVAILABILITY
Services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted, error-free, or entirely secure access to the Services at all times. We may temporarily suspend the Services for scheduled or emergency maintenance, updates, or to address technical issues. Where possible, we will provide advance notice of planned maintenance.
13. LIMITATION OF LIABILITY
13.1 Maximum Liability
To the maximum extent permitted by applicable law, our total liability to you for any claims arising from or in connection with these Terms or the Services is limited to the total amount you paid us for tokens in the 12 months immediately preceding the relevant claim.
13.2 Excluded Damages
We are not liable for any indirect, incidental, special, or consequential losses; loss of profits, revenue, data, or business opportunity; losses arising from your use or inability to use Generated Images; or actions or omissions of third-party service providers.
13.3 Statutory Rights
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any liability that cannot lawfully be excluded or limited under the Consumer Rights Act 2015 or any other applicable UK legislation.
14. TERMINATION
14.1 Termination by You
You may cease using the Services and delete your account at any time via your account settings.
14.2 Termination by Us
We may suspend or terminate your access immediately and without prior notice if you violate these Terms; engage in prohibited conduct; pose a risk or harm to us, other users, or the integrity of our Services; or your account has been inactive for more than 12 months, following reasonable prior notice.
14.3 Effects of Termination
Upon termination, your right to access the Services ceases immediately. Any unused tokens remaining in your account at the time of termination will be forfeited, subject to our Refund Policy and your statutory rights under applicable UK consumer law. We may delete your account data in accordance with our data retention policies. You will have 30 days following termination to download any Generated Images stored in your account.
14.4 Survival
Provisions relating to intellectual property ownership, licences granted to us, disclaimers, limitation of liability, and governing law shall survive termination of these Terms.
15. DISPUTE RESOLUTION
These Terms are governed by and construed in accordance with the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising out of or in connection with these Terms or the Services. Before commencing any legal proceedings, you agree to contact us at support@cuzimg.com to attempt to resolve the matter informally within 30 days.
16. CHANGES TO TERMS
We may modify these Terms at any time. Where changes are material, we will provide at least 14 days’ prior notice via email to your registered address, a prominent notice on our website, or an in-platform notification. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not accept the revised Terms, you must cease using the Services before the changes take effect.
17. GENERAL PROVISIONS
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Prime Digital Project Limited in relation to the Services. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in future. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between the parties.

By using our Services, you agree to treat other users with respect and courtesy; not create, share, or promote offensive, abusive, or harmful content; report any violations of these Terms to us promptly; and contribute to maintaining a safe, inclusive, and welcoming community.
20. COPYRIGHT INFRINGEMENT CLAIMS
If you believe that content on our platform infringes your copyright, please contact us at support@cuzimg.com with a description of the copyrighted work you believe has been infringed; the specific location of the allegedly infringing content on our platform; your full contact information; a statement that you have a good faith belief that the use is not authorised by the copyright owner; a statement that the information in your notice is accurate; and your physical or electronic signature.
